1. Acceptance of Terms
By purchasing, downloading, or using Synchat, you agree to these Terms of Service. If you do not agree, do not use the software.
These Terms apply to the Synchat software and related services ("Synchat").
2. License Grant
When you purchase a Synchat license (including Founder Edition), you are granted a non-exclusive, non-transferable, revocable license to install and use the software on up to three (3) devices simultaneously.
"Lifetime Access" means access to the version purchased and updates within the specified lifecycle (see Section 4), subject to these Terms.
You may not resell, sublicense, distribute, or transfer your license without written permission.
3. Refund Policy (30 Days)
We offer a 30-day money-back guarantee from the date of purchase. To request a refund, email billing@synchat.dev within 30 days.
Upon refund, your license key will be deactivated.
Refund requests submitted after 30 days will not be honored.
4. Updates & Product Scope
Founder Edition licenses include access to all updates within the 1.x and 2.x product lifecycle, including planned Autonomous Agent features, which may change over time.
We reserve the right to introduce new product lines, major future versions, or add-on services that may require separate purchase.
We do not guarantee indefinite support for legacy operating systems or environments.
5. Acceptable Use
You agree not to:
- Reverse engineer, decompile, or attempt to extract source code
- Circumvent license enforcement mechanisms
- Use the software for unlawful surveillance or recording
- Use the software in violation of applicable local, state, or national laws
You are solely responsible for complying with recording consent laws in your jurisdiction.
6. Disclaimer of Warranties
The software is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express or implied.
To the maximum extent permitted by law, Synchat disclaims all warranties, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or reliability of outputs
We do not guarantee that the software will be uninterrupted, secure, or error-free.
7. Limitation of Liability
To the maximum extent permitted by law, Synchat shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, or business interruption.
In no event shall Synchat's total liability exceed the amount you paid for the applicable license.
Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.
8. Indemnification
You agree to indemnify and hold harmless Synchat from any claims, damages, liabilities, or expenses arising from:
- Your misuse of the software
- Your violation of these Terms
- Your violation of applicable recording or privacy laws
9. Termination
We may suspend or terminate your license if you violate these Terms.
If terminated due to misuse, you may lose access to updates and associated services.
10. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by updating the date above. Continued use of the software constitutes acceptance of the revised Terms.
11. Governing Law
These Terms are governed by the laws of the State of Washington, without regard to its conflict of laws principles.
